1. Agreement to these terms

These Terms of Service (the Terms) are an agreement between you and Avasyo (also referred to as we, us, or our). They govern your access to and use of the Avasyo website, applications, workspaces, and related services (the Service).

By creating an account, clicking an acceptance control, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not create an account or use the Service.

You must be legally able to enter this agreement. The Service is not directed to children under 13, and you must not use it if doing so would violate the laws that apply to you.

2. What Avasyo provides

Avasyo is a personal productivity and reflection workspace designed to help you externalize thoughts, organize tasks, reduce mental noise, choose a focus, and make room for recovery. Features may include:

  • Focus Boards, Today views, tasks, subtasks, reminders, calendars, and whiteboards;
  • Brain Dump and Thought Board tools for capturing and organizing ideas;
  • Calmai and other optional AI-assisted conversations or workflows;
  • recovery, grounding, reflection, and status-check experiences; and
  • connections to email, calendars, GitHub, webhooks, and other third-party tools.

We may add, change, suspend, or remove features. Some features may require an account, a particular plan, a compatible device, or a third-party connection.

3. Accounts and security

You are responsible for providing accurate account information, keeping your password and sign-in credentials confidential, and all activity that occurs through your account. Tell us promptly if you believe your account has been accessed without permission.

You may not share, sell, transfer, or use another person's account without permission. You are responsible for ensuring that everyone invited to a shared workspace is authorized to see and work with the information in it.

We may restrict or require changes to an account where necessary to protect the Service, users, or third parties, or to comply with law.

4. Your content and workspace permissions

Your content means the tasks, notes, files, images, conversations, prompts, integrations, and other material you submit to or create in the Service. You keep ownership of your content.

You give us a limited, worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use your content only as needed to operate, secure, maintain, and improve the Service, provide support, and comply with law. This license ends when your content is deleted, subject to backups, legal requirements, and the operational time needed to complete deletion.

You are responsible for your content and must have the rights and permissions needed to submit it. Do not put highly sensitive information into a shared workspace or third-party connection unless you understand who can access it.

You are responsible for checking important information, deadlines, messages, and records yourself and for keeping independent copies of content you cannot afford to lose. The Service is not a guaranteed archive, monitoring service, notification service, or backup.

When you invite collaborators or connect an outside service, you authorize the related sharing or access needed for that feature. You can manage or revoke access using the controls made available by Avasyo and the relevant third party.

5. Free and paid plans

Avasyo may offer free features and paid subscriptions. Current plan descriptions, prices, billing intervals, and limits are shown before purchase. Prices may change for future purchases or renewals as permitted by law; we will provide notice where required.

Paid subscriptions renew at the interval shown at checkout unless you cancel before the next renewal. Payments are processed by a third-party payment provider. You authorize the applicable charges and are responsible for keeping payment information current.

You can cancel a subscription through the billing controls provided in your account or through the payment provider. Cancellation normally takes effect at the end of the current paid period. Except where required by law or stated at checkout, payments are non-refundable and unused time is not prorated.

We may suspend paid features for failed or disputed payments after reasonable notice, subject to applicable law. Taxes, fees, and currency conversion charges may apply.

6. Acceptable use

You may use the Service only for lawful purposes and in a way that respects other people. You must not:

  • break the law, infringe another person's rights, or submit content that is fraudulent, abusive, or unlawful;
  • probe, scan, bypass, or interfere with the security or operation of the Service;
  • reverse engineer, copy, resell, frame, or exploit the Service except where the law expressly allows it;
  • use automated access in a way that burdens the Service or evade usage limits;
  • upload malware or attempt to access another person's account or workspace; or
  • use AI output or the Service as a substitute for professional advice, emergency support, or decisions that require a qualified professional.

7. Calmai and AI-assisted features

Calmai and other AI features generate suggestions from the information and instructions available to them. AI output can be incomplete, inaccurate, outdated, or unsuitable for your situation. Review it before relying on it, and do not treat it as a statement of fact or as a recommendation from a professional.

Important: Avasyo and Calmai are not medical, mental-health, legal, financial, or crisis services. They do not diagnose, treat, or prevent any condition. If you may be in immediate danger or need urgent support, contact local emergency services or an appropriate qualified professional.

Depending on the feature and your settings, prompts, conversations, tasks, and profile information may be sent to an AI service provider to generate a response. See the Privacy Policy for how this information is handled.

8. Third-party services

The Service may link to or work with third-party products such as email, calendar, GitHub, automation, hosting, analytics, AI, or payment services. Those services have their own terms and privacy policies. We do not control and are not responsible for third-party services, their availability, or their handling of your information.

Integrations are provided on a best-efforts basis. Avasyo does not guarantee that an email, calendar entry, GitHub issue, webhook, or other third-party item will be found, received, imported, parsed, categorized, converted into a task or reminder, or processed on time. Items may be missed, delayed, duplicated, incomplete, or incorrectly interpreted because of provider outages or changes, permissions, filters, rate limits, authentication problems, network issues, sync schedules, malformed content, or other factors outside our control.

You remain responsible for reviewing the source service and for taking action on important communications, opportunities, deadlines, orders, customer or client requests, and other time-sensitive matters. You must not rely on Avasyo as the sole way to monitor an inbox or meet a business or personal obligation.

You choose whether to connect a third-party service. Review requested permissions carefully and disconnect it when you no longer want the connection.

9. Avasyo intellectual property

The Service, including its software, design, branding, text, graphics, and underlying technology, belongs to Avasyo or its licensors and is protected by applicable intellectual-property laws. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your personal or authorized internal use while you comply with these Terms.

If you send us suggestions or feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.

10. Disclaimers and limits

To the fullest extent permitted by law, the Service is provided on an as-is and as-available basis. We do not promise that it will always be uninterrupted, secure, error-free, or suitable for every purpose, or that any task, outcome, recovery result, or AI suggestion will be achieved.

To the fullest extent permitted by law, Avasyo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for lost profits, lost revenue, lost sales, missed opportunities, missed deadlines, missed or misunderstood communications, lost data, loss of goodwill, business interruption, or the cost of obtaining substitute services arising from or related to the Service. This includes losses connected with an integration or AI feature failing to find, import, parse, classify, remind you about, or act on information, including an email or other third-party item.

To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim or 100 USD. You agree that these exclusions and this cap reflect the allocation of risk between you and Avasyo and are an essential basis of the agreement.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, intentional misconduct, or certain personal-injury claims.

11. Suspension, termination, and deletion

You may stop using the Service and request account deletion through available account controls or by contacting us. We may suspend or terminate access if you materially breach these Terms, create risk for the Service or others, fail to pay, or if we discontinue the Service.

After termination, your right to use the Service ends. We may retain limited information where necessary for security, fraud prevention, legal compliance, dispute resolution, or legitimate business records. Sections that should reasonably survive termination, including ownership, disclaimers, limits, and dispute terms, will continue to apply.

12. Changes and general terms

We may update these Terms from time to time. We will post the updated version and change the date above; if a change is material, we will provide additional notice where required. Your continued use after the effective date means you accept the updated Terms.

If a provision is unenforceable, the remaining provisions remain in effect. These Terms and any dispute relating to them are governed by the laws applicable to the Avasyo service operator, without regard to conflict-of-law rules, unless mandatory local law says otherwise. Before bringing a formal claim, please contact us so we can try to resolve the issue.
